Freelancer Services Agreement
This Freelancer Services Agreement ("Agreement") is entered into between:
[CLIENT NAME], of [CLIENT ADDRESS] (the "Client")
and
[FREELANCER NAME], of [FREELANCER ADDRESS] (the "Freelancer")
(each a "Party" and collectively the "Parties").
1. Engagement
The Client engages the Freelancer, and the Freelancer accepts such engagement, to perform the services described in this Agreement on the terms and conditions set out below.
2. Project Description
The Freelancer shall carry out the following work: [PROJECT DESCRIPTION]

The Freelancer shall provide the following deliverables: [DELIVERABLES]
4. Term
This Agreement shall commence on [START DATE] and shall continue until [END DATE], unless terminated earlier in accordance with Clause 10 of this Agreement.
5. Payment
5.1 The Client shall pay the Freelancer the total sum of [AMOUNT] for the services described in this Agreement.
5.2 Payment shall be due 30 days from invoice.
5.3 The Freelancer shall submit invoices to the Client in a format reasonably acceptable to the Client. Each invoice shall include a description of the services performed and any applicable reference numbers.
5.4 In the event of late payment, the Freelancer reserves the right to charge interest at the rate of 4% above the Bank of England base rate, calculated on a daily basis from the due date until actual payment.
6. Intellectual Property
6.1 All intellectual property rights in the deliverables produced under this Agreement shall vest in [CLIENT NAME] upon full payment of all sums due under this Agreement.
6.2 The Freelancer warrants that the deliverables will be original work and will not infringe the intellectual property rights of any third party.
6.3 The Freelancer retains the right to use the work in their portfolio for promotional purposes, unless otherwise agreed in writing.
7. Confidentiality
7.1 Each Party agrees to keep confidential all information received from the other Party that is designated as confidential or that reasonably should be understood to be confidential.
7.2 This obligation of confidentiality shall survive the termination of this Agreement for a period of two (2) years.
8. Independent Contractor Status
8.1 The Freelancer is an independent contractor and not an employee, worker, agent, or partner of the Client.
8.2 The Freelancer shall be responsible for their own tax affairs, including income tax and National Insurance contributions.
8.3 The Freelancer shall not be entitled to any employment benefits from the Client, including but not limited to holiday pay, sick pay, or pension contributions.
9. Warranties and Liability
9.1 The Freelancer warrants that the services will be performed with reasonable skill and care.
9.2 The Freelancer's total liability under this Agreement shall not exceed the total fees paid or payable under this Agreement.
9.3 Neither Party shall be liable for any indirect, consequential, or special damages arising out of or in connection with this Agreement.
10. Termination
10.1 Either Party may terminate this Agreement by giving 14 days written notice to the other Party.
10.2 The Client may terminate this Agreement immediately if the Freelancer commits a material breach that is not remedied within 7 days of written notice.
10.3 Upon termination, the Client shall pay the Freelancer for all work completed up to the date of termination.
11. Force Majeure
Neither Party shall be liable for any failure to perform its obligations under this Agreement if such failure results from circumstances beyond the reasonable control of that Party, including but not limited to acts of God, fire, flood, epidemic, war, terrorism, or government action.
12. Dispute Resolution
The Parties shall attempt to resolve any dispute arising under this Agreement through good-faith negotiation. If the dispute cannot be resolved within 30 days, either Party may refer the matter to mediation before pursuing any legal remedy.
13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. The Parties submit to the exclusive jurisdiction of the courts of England and Wales.
14. Entire Agreement
This Agreement constitutes the entire agreement between the Parties and supersedes all prior negotiations, representations, and agreements relating to the subject matter hereof.
